Scope of Work Agreement

This Scope of Work Agreement ("Agreement") is entered into on [DATE] between [CLIENT NAME], located at [CLIENT ADDRESS] ("Client") and [CONTRACTOR NAME], located at [CONTRACTOR ADDRESS] ("Contractor").

Purpose: The purpose of this Agreement is to define the scope of work to be performed by the Contractor for the Client, and to establish the terms and conditions under which such work will be performed.

Scope of Work: The Contractor will provide the following services to the Client:

Termination: Either party may terminate this Agreement at any time upon written notice to the other party. Upon termination, the Contractor will immediately cease all work and deliverables related to this Agreement, and the Client will pay the Contractor for all services rendered up to the termination date.

Indemnification: The Contractor agrees to indemnify, defend, and hold harmless the Client and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses arising from or related to the Contractor's performance of services under this Agreement.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of [STATE], without giving effect to any choice of law or conflict of law provisions.

Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between them relating to the subject matter hereof.

Amendments: This Agreement may not be amended or modified except in writing signed by both parties.

Execution: This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

INDEMNIFICATION
Contractor agrees to indemnify, defend, and hold harmless Client and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with the Services provided by Contractor.

GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of the state of [STATE]. Any dispute arising out of or in connection with this Agreement shall be resolved by arbitration in accordance with the rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
